Service Description

Logri, a product of Blue Quanta LLC, provides a web-based agricultural management application (the "Service") that enables agricultural operations to:

  • Manage field and crop information
  • Track chemical applications and inventory
  • Monitor regulatory compliance (REI/PHI, pesticide reporting)
  • Access weather data and application recommendations
  • Generate reports for regulatory agencies (NJ DEP, FDA, USDA)
  • Manage team members and multi-tenant organizations

The Service is currently in Early Access phase and is under active development. Features and functionality may change.

Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the Service.

We reserve the right to modify these Terms at any time. Your continued use after changes constitutes acceptance of the modified Terms.

User Eligibility

To use the Service, you must:

  • Be at least 18 years of age
  • Have the authority to enter into binding contracts
  • Use the Service for lawful agricultural business purposes only
  • Provide accurate registration information
  • Maintain the security of your account credentials

Account Responsibilities

Account Security

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Notifying us immediately of any unauthorized access
  • Ensuring your team members comply with these Terms

Accurate Information

You agree to:

  • Provide accurate, current, and complete information
  • Update your information promptly when it changes
  • Enter accurate agricultural data (chemical applications, field information)
  • Not misrepresent yourself or your organization

Acceptable Use Policy

You agree to use the Service only for lawful agricultural business purposes. Specifically, you agree to:

Agricultural Data Accuracy

  • Enter accurate chemical application records
  • Report correct EPA registration numbers and application rates
  • Record truthful weather conditions and safety equipment usage
  • Maintain accurate field and crop information
  • Not falsify regulatory compliance data

Data Integrity

  • Not tamper with audit logs or system records
  • Not attempt to access data belonging to other organizations
  • Not circumvent security measures or access controls
  • Not interfere with the proper functioning of the Service

Prohibited Activities

You may not:

  • Use the Service for any illegal purpose
  • Violate any local, state, federal, or international laws
  • Infringe intellectual property rights of others
  • Transmit viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service or other accounts
  • Use the Service to harass, abuse, or harm others
  • Scrape, spider, or harvest data from the Service
  • Reverse engineer or decompile the Service
  • Resell or redistribute the Service without authorization
  • Create fake accounts or impersonate others
  • Manipulate data for fraudulent regulatory reporting

Payment and Subscription Terms

Early Access

The Service is currently offered free of charge during the Early Access phase. We may introduce paid subscription plans in the future.

Future Paid Plans

When subscription plans are introduced:

  • Pricing and features will be clearly communicated
  • Existing users will receive advance notice (minimum 30 days)
  • You may cancel at any time before paid service begins
  • Payment processing will be handled by Stripe

Billing

For future paid plans:

  • Subscriptions will be billed monthly or annually in advance
  • All fees are non-refundable except as required by law
  • Failure to pay may result in service suspension or termination

Intellectual Property

Our Rights

The Service, including all content, features, functionality, and intellectual property, is owned by Blue Quanta LLC and protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property laws.

Your Rights

You retain all ownership rights to your agricultural data. By using the Service, you grant us a limited license to:

  • Store and process your data to provide the Service
  • Display your data back to you and authorized team members
  • Generate reports and analytics based on your data
  • Back up your data for disaster recovery purposes

We will not sell, share, or use your data for purposes other than providing the Service, except as described in our Privacy Policy.

Trademarks

"Logri" and related logos are trademarks of Blue Quanta LLC. You may not use our trademarks without written permission.

Multi-Tenant Architecture

Data Isolation

Your organization's data is isolated from other organizations through our multi-tenant architecture:

  • Each tenant (organization) has a unique identifier
  • All database queries are filtered by tenant ID
  • Other organizations cannot access your data
  • Team member access is controlled through role-based permissions

Tenant Ownership

As the owner of your organization (tenant):

  • You control who has access to your data
  • You can invite and remove team members
  • You can assign roles and permissions
  • You can delete your organization and all associated data

Cross-Tenant Restrictions

  • Users cannot access data from tenants they don't belong to
  • API endpoints enforce tenant isolation
  • Audit logs track all data access by tenant

Warranties and Disclaimers

Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

  • Warranties of merchantability
  • Fitness for a particular purpose
  • Non-infringement
  • Accuracy or completeness of data
  • Uninterrupted or error-free operation

Agricultural Decisions

IMPORTANT: The Service provides data management and recommendations but does not replace professional agricultural judgment. You are solely responsible for:

  • Chemical application decisions and safety
  • Compliance with local, state, and federal regulations
  • Interpretation of weather data and recommendations
  • Worker safety and REI/PHI compliance
  • Accuracy of regulatory reports

Weather Data

Weather data is provided by NOAA and other sources for informational purposes only. We do not guarantee:

  • Accuracy of weather forecasts or observations
  • Suitability of application windows
  • Real-time data availability
  • Completeness of weather records

Always verify conditions on-site before applying chemicals.

Regulatory Compliance

While the Service helps track regulatory requirements, you are solely responsible for compliance with all applicable laws and regulations, including but not limited to:

  • EPA pesticide regulations
  • State pesticide reporting requirements (e.g., NJ DEP)
  • FDA food safety regulations
  • USDA GAP certification requirements
  • Worker protection standards (WPS)

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLUE QUANTA LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO:

  • Loss of profits or revenue
  • Loss of data or agricultural records
  • Cost of substitute services
  • Crop damage or loss
  • Regulatory fines or penalties
  • Business interruption

OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS BEFORE THE CLAIM (OR $100 IF NO FEES WERE PAID).

Some jurisdictions do not allow limitation of liability, so these limitations may not apply to you.

Indemnification

You agree to indemnify, defend, and hold harmless Blue Quanta LLC, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, costs, or expenses (including attorneys' fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or regulation
  • Your agricultural operations and decisions
  • Inaccurate data you provide
  • Claims by third parties related to your use of the Service

Termination

By You

You may terminate your account at any time by:

  • Contacting support at john@bluequanta.io
  • Using the account deletion feature (when available)

By Us

We may suspend or terminate your account if:

  • You violate these Terms
  • You provide false or misleading information
  • Your account is inactive for more than 12 months
  • We discontinue the Service (with 30 days' notice)
  • Required by law or court order

Effect of Termination

Upon termination:

  • Your access to the Service will be revoked
  • Your data will be retained for 30 days (grace period for recovery)
  • After 30 days, your data will be permanently deleted (except data subject to legal retention requirements)
  • Audit logs will be retained for 7 years for compliance purposes

Data Export

Before terminating your account, you may request an export of your data in a machine-readable format. Requests must be made before account deletion.

Dispute Resolution

Informal Resolution

Before filing a claim, you agree to contact us at john@bluequanta.io and attempt to resolve the dispute informally.

Arbitration

If informal resolution fails, disputes will be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), except where prohibited by law.

Class Action Waiver

You agree to resolve disputes individually and waive the right to participate in class actions, except where prohibited by law.

Exceptions

Either party may seek injunctive relief in court to protect intellectual property rights or prevent unauthorized access.

Governing Law

These Terms are governed by the laws of the State of New Jersey, United States, without regard to conflict of law principles.

Any legal action must be brought in the state or federal courts located in New Jersey.

Miscellaneous

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Blue Quanta LLC regarding the Service.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full force and effect.

Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment

You may not assign these Terms without our written consent. We may assign these Terms to any successor or affiliate.

Force Majeure

We are not liable for delays or failures due to circumstances beyond our reasonable control, including natural disasters, war, terrorism, labor disputes, or internet failures.

Notices to you will be sent to the email address associated with your account. Notices to us should be sent to john@bluequanta.io.
